Terms of Use
1. About these Terms
These Terms of Use (“Terms”) are a legal agreement between you and Reckon Labs Limited, a private company limited by shares registered in Ireland under company number 815224, trading as “Sparrway”, at Workhub, 6 Fern Road, Sandyford, Dublin 18, D18 FP98, Ireland (“Sparrway”, “we”, “us” or “our”). They govern your access to Sparrway websites, applications, interactive scenarios, creator tools, community features and related services (the “Services”).
By creating an account, clicking to accept, purchasing a Service or otherwise using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services. Mandatory consumer rights in your country are not excluded by these Terms.
2. Eligibility and managed accounts
You must be at least 16 years old to create an individual account. If you are under the age of legal majority where you live, your parent or legal guardian must review and agree to these Terms. School-managed access for younger learners may be offered only under a separate agreement and appropriate parent or school authorisation.
If you use the Services for an organisation, you confirm that you have authority to bind it. If a school, teacher or employer provides your account, that organisation may manage access, assignments and certain account data as explained when the account is created.
3. Accounts
- Provide accurate information and keep it current.
- Keep credentials confidential and do not share or transfer an account.
- Notify support@sparrway.com promptly if you suspect unauthorised use.
- You are responsible for activity under your account to the extent permitted by law.
We may require verification, refuse a username, or suspend access to protect users and the Services.
4. The Services
Sparrway provides language practice through interactive scenarios, AI-assisted conversations, learning results and tools for creating and sharing scenarios. Features labelled “coming soon”, beta, preview or experimental are plans, not a promise that a feature will launch on a particular date or in a particular form. Availability may vary by country, device, language and account type.
Sparrway is an educational tool, not a school, accredited qualification, medical service, emergency service or substitute for professional advice. Healthcare, travel, workplace and other scenarios are simulations. Do not rely on them for an emergency or as professional advice.
5. Licence to use Sparrway
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended educational or authorised organisational purpose. You may not copy, sell, rent, sublicense, reverse engineer, scrape, bypass access controls or use the Services to build or train a competing model or product, except where applicable law expressly permits and cannot be waived.
6. Your content
“User Content” includes scenarios, dialogue, prompts, responses, images, audio, reviews, profile material and other content you submit. You retain ownership of your original User Content.
You grant Sparrway a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, translate, display, perform and process User Content only as needed to operate, secure, improve and promote the Services according to your selected visibility. For public User Content, the licence includes displaying it to other users and using reasonable excerpts and thumbnails to identify or promote that content and Sparrway. This licence ends when the content is deleted, except for cached copies, legal retention, content incorporated into another user’s permitted activity, or where continued use is otherwise described and lawful.
Selling scenarios on the Marketplace is not available yet. Before it launches, we will publish separate Creator and Marketplace Terms covering the sales licence, revenue share, tax, payouts, refunds, promotional use and content removal, and you will need to accept them before you sell.
You confirm that you have all rights and permissions needed for User Content and that it does not infringe intellectual property, privacy, publicity or other rights. Do not upload confidential or sensitive personal information unless the feature clearly requires it and you are authorised to do so.
7. AI-generated content
AI features may suggest dialogue, characters, feedback, translations or scenario structures. AI output can be incorrect, incomplete, biased or similar to material generated for others. Review output before relying on, publishing or sharing it. You are responsible for how you use and edit output and for ensuring that published content complies with these Terms.
As between you and Sparrway, and to the extent permitted by law, you may use output generated for you. We do not promise that output is unique, accurate, non-infringing or eligible for intellectual-property protection. Your use of AI features is also subject to our Privacy Policy.
8. Acceptable use
You must not use the Services to:
- break the law, facilitate fraud, impersonate others or violate another person’s rights;
- upload copied, infringing, deceptive, discriminatory, hateful, sexually exploitative, graphically violent or otherwise unlawful content;
- target, groom, exploit or endanger a child, or request personal information from a child;
- harass, threaten, dox or expose another person’s private information;
- distribute malware, probe vulnerabilities, evade rate limits or interfere with the Services;
- automatically harvest content or personal information without written permission;
- misrepresent AI output as verified professional advice or guaranteed learning results; or
- circumvent moderation, geographic, payment or access restrictions.
9. Sharing, publication and moderation
Private, link-only, group and public settings control who may access a scenario, but any person with a valid link or code may forward it. Do not use link-only sharing for confidential information.
Public content may be reviewed before or after publication. We may reject, restrict, label, remove or preserve content, and suspend accounts, where reasonably necessary for safety, quality, legal compliance or enforcement of these Terms. We may use automated tools and human review. You can appeal a moderation decision by emailing support@sparrway.com.
To report copyright infringement or unlawful content, contact info@sparrway.com and identify the work, content location, your contact details, the basis of your claim and any statement required by applicable law.
10. Fees, subscriptions and refunds
Some Services may be free and others may require payment. Before checkout, we will show the price, currency, billing period, taxes, renewal terms and available cancellation method. If a subscription renews automatically, you authorise recurring charges until cancellation. Cancellation normally stops future renewal and does not erase access already paid for.
Refunds and statutory withdrawal rights depend on the product, purchase channel and law that applies to you. App-store purchases are also subject to the store’s billing and refund rules. Nothing here limits a mandatory consumer remedy.
Paid features are not available yet. Before they launch, we will update this section with the final prices, trial, renewal, cancellation and refund rules.
11. Sparrway intellectual property
The Services, software, design, Sparrway name and logos, official scenarios and other material we provide are owned by us or our licensors and protected by law. Except for the limited licence in section 5, no rights are transferred to you. Feedback may be used without restriction or payment, provided it does not identify you publicly without permission.
12. Third-party services
The Services may link to or integrate with app stores, payment processors, identity providers, AI providers, video hosts and other third parties. Their terms and privacy notices govern their services. We are not responsible for third-party services to the extent permitted by law.
13. Suspension and termination
You may stop using the Services and request account deletion by emailing info@sparrway.com from the email address linked to your account. We may suspend or terminate access if you materially or repeatedly breach these Terms, create risk or legal exposure, fail to pay, or where required by law. Where reasonable, we will give notice and an opportunity to appeal or export content. Sections intended by their nature to survive termination will survive.
14. Service changes and availability
We may maintain, change or discontinue features. We do not guarantee uninterrupted or error-free operation. If a paid Service is materially discontinued, we will provide any notice, continued access, refund or other remedy required by applicable law.
15. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee language fluency, examination results, employment outcomes, content accuracy or that AI output will meet your needs. This section does not exclude warranties or rights that cannot legally be excluded.
16. Limitation of liability
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, intentional misconduct, or any liability that law does not allow us to limit.
Subject to the paragraph above, and to the maximum extent permitted by law, Sparrway is not liable for indirect, incidental, special, consequential or punitive loss, or loss of profits, revenue, data, goodwill or opportunity. Our total liability arising from the Services will not exceed the greater of (a) the amount you paid us for the Services during the 12 months before the event giving rise to the claim and (b) €100. Consumer law may give you additional remedies.
17. Governing law and disputes
These Terms are governed by the laws of Ireland, without regard to conflict-of-law rules. The courts of Ireland have jurisdiction, except that consumers may bring claims in the courts and rely on the mandatory laws available in their country of residence.
18. Changes to these Terms
We may update these Terms. We will post the new version and update the date above. For material changes, we will provide reasonable advance notice where required. If you continue to use the Services after the effective date, the updated Terms apply; where law requires fresh consent, we will ask for it.
19. General
If a provision is unenforceable, the rest remains effective. Failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, reorganisation or sale, subject to applicable law. These Terms, the Privacy Policy, purchase terms shown at checkout and any applicable organisation agreement form the agreement for the Services.
